Company Secretarial Support Services (CoSec)

We offer a wide variety of company secretarial support services, from registration of companies, directorship changes and transfer of shares, through to the dissolution of legal entities.  We also assist clients with their governance and compliance needs and help ensure that their statutory records and registers are being maintained in accordance with the Companies Act, 2008.

We don’t act as company secretary, nor do we accept the formal appointment as company secretary.  Our services are administrative in nature and are therefore permissible in term of local laws and regulations (for example EU PIE rules and Section 90 of the Companies Act, 2008).

Issues you may be facing

  • Clients and audit engagement team members often think that we act as company secretaries and that our services are therefore restricted
  • We do not act as company secretaries, nor do we accept the formal appointment as company secretary
  • Our services, which are administrative in nature, are therefore not prohibited by the relevant SOPS and are permissible in terms of local laws and regulations (for example EU PIE rules and Section 90 of the Companies Act, 2008)

Board support

Board support, including:

  • Preparation of minutes of meetings and Action Registers 
  • Assist clients at an Annual General Meeting with registration of voting members and proxies at the meeting and counting of votes

Voluntary liquidation and deregistration of solvent legal entities

  • Administering members voluntary liquidation and deregistration of solvent entities
  • Line of contact for client queries on the requirements and process to voluntary wind-up legal entities
  • Co-ordinate and liaise with clients, tax teams, accountants, legal advisors and auditors to prepare for a members voluntary liquidation or deregistration
  • Assist with identifying issues requiring attention prior to commencing the winding up process
  • Liaise with different government institutions during the voluntary liquidation process (Master of the High Court, SARS, CIPC, Magistrate’s Court)
  • Inform clients on the legal consequences of voluntary liquidation and deregistration

CIPC, Deeds Office and related services

CIPC, Deeds Office and related services, for example: 

  • Annual returns and iXBRL submissions
  • Filing of beneficial ownership information 
  • Restoration of deregistered entities
  • Obtain details of companies, close corporations, organisations and their directors or registered members
  • Obtain copies of documents of a juristic entity
  • Obtain owner and property details linked to an individual or legal entity
  • Obtain trust information and details of a deceased estates
  • Obtain electronic copies of Deeds Office documents, including title deeds and bond documents

Training

  • External training on current topics
  • Training events are hosted and communicated through the Business School
