Our approach to governance

PwC South Africa is governed by a structure comprising the Africa Governance Board, South Africa Governing Board and South Market Area Leadership Team.


This governance structure, along with our business model, enables us to create value for our stakeholders.

While we go to market by industry, we operate along three lines of service, each of which contributes to the execution of our firmwide Africa strategy, underpinned by our common global purpose and values. Governance structure

Governance Board  
  • 12 members (including six from the Governing Board)
  • Four scheduled meetings per annum (and ad-hoc meetings if required)
  • Term of office: Four years 

 

PwC South Africa is part of the South Market Area of PwC Africa, and falls under the governance arrangements of PwC Africa. These governance arrangements are exercised by the Governance Board, constituted in terms of the Africa joint venture agreement, which details its powers and duties. 

The members are elected by the partners in each of the three market areas making up PwC Africa. The chairperson of the Governance Board is elected by its members. The Governance Board has several committees that act in accordance with its delegated authority. The committees are accountable to the Governance Board and report to the members at each board meeting.

The Governing Board is constituted in terms of the PwC South Africa firm partnership agreement, which details its rights and obligations. 

Other than the CEO, none of the members serve as members on the Leadership Team. 

The chairperson of the Governing Board is elected by its members.

South Market Area Leadership Team
  • Seven members elected by the CEO
  • Eight scheduled meetings per annum
  • Term of office: Four years 
The South Market Area Leadership Team is accountable for the South African firm’s results and its principal responsibilities, which include creating, directing and overseeing strategy implementation, developing succession plans for leadership roles, and ensuring regular and ongoing partner communications on the progress and performance of the firm.
